Marketplace Wheel & RR Wheel — End User License Agreement and Terms of Use

Effective Date: October 1, 2026 · Last Updated: October 13, 2026 Version: 2.3

Marketplace Wheel Company ("Company") · admin@marketplacewheel.com

Supersedes: RR Discovery Engine Terms of Use v1.3 and EULA/Terms v2.0, v2.1 and v2.2.

1. Acceptance

By installing the RR Wheel extension or using the Marketplace Wheel app (together, the "Service") you agree to these Terms. If you do not agree, do not use the Service. You must be 18+ and a U.S. resident.

2. License

Company grants you a limited, personal, non-exclusive, non-transferable, revocable, non-commercial license to use the Service for reviewer record-keeping, tax accounting, live product discovery, saved keyword tracking and related workflow tools. You may not resell, reverse engineer (except as law allows), or use the Service to build a competing product.

3. Independence from marketplaces

RR Wheel is an independent software tool developed by Marketplace Wheel Company. It is not affiliated with, endorsed by, sponsored by, or associated with Walmart Inc., Amazon.com, Inc., or any of their respective subsidiaries, affiliates, or review programs. All trademarks belong to their owners. In these Terms, "Recognized Reviewer program" and "Vine program" (together, "supported third-party marketplace reviewer programs") refer only to programs operated by those third parties. Your participation in any reviewer program is governed solely by your agreement with that program, and Company has no responsibility for your standing in it.

4. Assistive use only

The extension acts as an assistive tool, on your behalf, using your own existing signed-in access, on pages you open. You agree not to use the Service to make automated claims or purchases, to bypass security challenges, or to access accounts other than your own. The Service stops when a marketplace presents a security challenge.

5. Not tax, legal or accounting advice

The Service performs calculations and keeps records. It is not a CPA, tax preparer or law firm, and nothing in it is tax advice (including for purposes of IRS Circular 230). FMV figures, write-downs and tax-period totals are estimates you control. You are responsible for your own tax filings (including any Form 1099 or Schedule C reporting) and should consult a qualified professional. Initial fast card captures may temporarily record a card's visible status or delivery date when the marketplace omits the order placement date; the second set-up step (Fix claim dates & prices) inspects order details to retrieve the placement date, and you may edit order dates in the ledger at any time.

6. Your data

You retain all ownership of your records, notes, adjustments, proofs and receipts ("Your Records"). You grant Company only the rights needed to host, process and display Your Records to operate the Service for you.

7. Aggregated data license

You grant Company a worldwide, perpetual, irrevocable, royalty-free license to create, use and maintain aggregated, de-identified product and pricing information derived from use of the Service (for example, item listings and listed values) solely to operate, improve and power community inventory, drop alerts and discovery features within the Service, provided it cannot reasonably identify you and never includes health or pharmacy data, notes, proofs or account details. Company does not sell, rent or license this aggregated data to data brokers or marketing firms. This license survives termination.

8. Health data

Marketplace Wheel Company is not a healthcare provider or Covered Entity under HIPAA. The Service is strictly a consumer productivity and record-keeping tool. We do not solicit, require, or intend to collect Protected Health Information (PHI) or confidential medical records, and users should not submit or store private medical documentation within the Service. The Service uses automated keyword- and category-based filtering to screen out prescription pharmacy and sensitive medical items; novel or ambiguously described items may occasionally evade screening. General wellness, fitness, personal care and over-the-counter claims are not excluded. You agree not to enter, paste or upload health, prescription or medical details into claim notes, proofs, receipts or support requests. If you do so inadvertently, you may delete it in the app or ask us to delete it (see Privacy Policy Section 2).

9. Subscriptions, trials and charges

  • Plans and pricing: $8.99 per month or $79 per year, billed in advance, plus applicable tax. Optional Vine program Tax & ETV Accounting add-on: +$0.99 per month or +$11.88 per year.
  • 30-day free trial: Available on your first signup only. You may cancel at any time during the trial without charge.
  • First charge and renewals: Unless cancelled before the trial ends, your payment method is charged automatically when the 30-day trial ends, and the subscription then renews automatically each month or year until cancelled.
  • How to cancel: In the web app on the Billing page (secure payment-processor portal), or by emailing admin@marketplacewheel.com. Cancellation takes effect at the end of the current billing period.
  • Price changes: At least 30 days' notice by email or in-app notice before a new price applies to your renewal.
  • Refunds: Fees are non-refundable except where required by law or store policy.
  • Store billing: Purchases made through an app store follow that store's billing and refund rules.

10. Cancellation, no lockout and account deletion

  • Cancellation: Cancelling or letting your subscription lapse never deletes your account or locks you out of your past records, history or exports (CSV, printable worksheets, JSON archive) for as long as your account exists. Paid features may stop updating.
  • Account deletion: If you delete your account, app access ends, any active subscription billing is cancelled, and your records are permanently erased as described in Privacy Policy Section 11. Export first if you want a copy.
  • Service discontinuation: If Company discontinues the Service, you will receive at least 30 days' advance notice where it is commercially practicable to download your complete archives.

11. Acceptable use

No unlawful use, harassment, spam, malware, interference with the Service, scraping of the Service, or sharing of accounts.

12. Feedback

If you send suggestions, the Company may use them without obligation to you.

13. Third-party services

Links to or sharing with third parties (e.g., Reddit) are governed by their terms. Company is not responsible for them.

14. Exported files

Once exported, files are under your sole control and responsibility.

15. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING ACCURACY OF CAPTURED DATA, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Marketplaces may change their sites at any time, which may affect features.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, TAX PENALTIES, OR LOSS OF PROGRAM STANDING. COMPANY'S TOTAL LIABILITY IS LIMITED TO THE GREATER OF FIFTY U.S. DOLLARS ($50) OR THE AMOUNT YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM.

17. Indemnity

You agree to indemnify the Company against claims arising from your misuse of the Service or violation of these Terms or of any reviewer program's rules.

18. Dispute resolution

Informal resolution: contact admin@marketplacewheel.com and allow 30 days to resolve. Arbitration: unresolved disputes are settled by binding individual arbitration in the Commonwealth of Pennsylvania under the AAA Consumer Rules; small-claims court remains available. Class action and jury waiver: you and Company waive class actions and jury trials. Governing law: Pennsylvania, without regard to conflict-of-law rules.

19. Termination

You may stop using the Service anytime. Company may suspend access for violation of these Terms; Section 10 export access will be preserved where lawful.

20. Changes

Company may update these Terms with notice in the app; continued use means acceptance.

21. Apple App Store additional terms

If you obtained the Service from Apple's App Store:

(a) Parties: These Terms are between you and Company, not Apple. Company, not Apple, is solely responsible for the Service and its content.

(b) Scope of license: The license is a non-transferable license to use the Service on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the Service may be accessed by other accounts associated with you via Family Sharing or volume purchasing; where permitted, those arrangements control over any single-user restriction in these Terms.

(c) Maintenance and support: Company alone is responsible for maintenance and support. Apple has no obligation to furnish any maintenance or support services.

(d) Warranty: Company is solely responsible for any product warranties, express or implied by law, to the extent not effectively disclaimed, and for addressing any failure of the Service to conform to them. If the Service fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.

(e) Product claims: Company, not Apple, is responsible for addressing any claims relating to the Service, including (i) product liability claims; (ii) claims that the Service fails to conform to any legal or regulatory requirement; and (iii) claims under consumer protection, privacy or similar legislation.

(f) Intellectual property: If a third party claims the Service or your use of it infringes their intellectual property rights, Company, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.

(g) Legal compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.

(h) Developer contact: Questions, complaints or claims: Marketplace Wheel Company, 6265 PA-29, Springville, PA 18844, 267-714-8811, admin@marketplacewheel.com.

(i) Third-party terms: You must comply with applicable third-party terms when using the Service.

(j) Third-party beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and, on your acceptance, may enforce them against you.

23. Digital Millennium Copyright Act (DMCA) Notice & Takedown Policy

Marketplace Wheel Company respects the intellectual property rights of others. You may submit, import, store or share content through the Service only when you own the content or have the rights or other lawful authorization needed for that use. This applies to reviews, photographs, screenshots and other materials, including materials stored in a private ledger or review archive. Capturing material from a supported third-party marketplace reviewer program does not itself grant permission to republish or syndicate it.

(a) Copyright notices and contact

If you believe material on the Service infringes your copyright, send a written notice to the Company's copyright contact:

Marketplace Wheel Company

Attn: Copyright Notices

Email: admin@marketplacewheel.com Subject: DMCA Copyright Notice

Mail: 6265 PA-29, Springville, PA 18844

Telephone: 267-714-8811

Under 17 U.S.C. § 512(c)(3), your notice must include substantially the following:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf.
  2. Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works at a single online site are covered.
  3. Identification of the material claimed to be infringing or the subject of infringing activity and that is to be removed or access disabled, with information reasonably sufficient for Company to locate it (for example, a Service URL or record identifier).
  4. Information reasonably sufficient to contact you, such as your address, telephone number and, if available, email address.
  5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law.
  6. A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right allegedly infringed.

Please do not send passwords, sign-in tokens, prescription details or other unnecessary sensitive information. We may share the notice, including the contact information it contains, with the affected user as needed to process the claim.

(b) Removal or disabling access

Upon receiving a substantially compliant notice, Company will act expeditiously to remove or disable access to the material identified and take reasonable steps to promptly notify the affected user. Company may also remove or disable access when otherwise required by law or these Terms. This process applies to material stored privately as well as material shared through the Service; it does not authorize public disclosure of a user's unrelated private records.

(c) Counter-notices

If your material was removed or access disabled because of a mistake or misidentification, you may send a written counter-notice to the copyright contact above. Under 17 U.S.C. § 512(g)(3), it must include substantially the following:

  1. Your physical or electronic signature.
  2. Identification of the material removed or to which access was disabled and the location where it appeared before removal or disabling.
  3. A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification.
  4. Your name, address and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which Company may be found), and that you will accept service of process from the person who submitted the infringement notice or that person's agent.

Company will promptly forward a substantially compliant counter-notice to the original complainant and inform that person that it will replace the material or cease disabling access in 10 business days. Under the applicable DMCA procedure, Company will replace the material or cease disabling access not less than 10 and not more than 14 business days after receiving the counter-notice, unless its copyright contact first receives notice that the complainant has filed an action seeking a court order to restrain the user's infringing activity relating to that material on the Service. Restoration under this procedure does not override an independent lawful basis for removal under these Terms. A counter-notice discloses your identifying and contact information to the complainant; seek legal advice if you are unsure whether to submit one.

(d) Repeat infringers and standard technical measures

Company adopts and will reasonably implement a policy providing for termination, in appropriate circumstances, of accounts or access privileges of users who are repeat copyright infringers, as described in 17 U.S.C. § 512(i). Company will accommodate and not interfere with standard technical measures within the meaning of that section. Section 10's cancellation and export protections do not require Company to retain, restore or export infringing material or to preserve access prohibited by law.

(e) Misrepresentations

Under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees. Notices and counter-notices should be submitted only in good faith.
